Terms of Service

These terms cover Wellficient RD and the getwellficient.com website. Both are run by Wellficient Systems LLC, a Missouri company (“Wellficient,” “we,” “us”). “You” means the business that signs up for Wellficient RD and each person it lets use it.

If you have a signed service agreement with us, that agreement controls wherever it differs from these terms.

The service

Wellficient RD is web software for long-term care consultant dietitians. We host, maintain and support it for you and the dietitians you authorize. That includes backups, security updates, bug fixes, and help by email.

Who can use it

Wellficient RD is for businesses that serve long-term care facilities, such as consultant dietitian practices. The person who signs up must be able to accept these terms for the business.

Every person who uses Wellficient RD gets their own login. You decide who has access, and you are responsible for activity under your team’s logins.

• Keep each login to one person. Don’t share passwords.
• Email us right away if you think a login has been misused.
• Tell us when someone leaves your team, so we can close their login.

Business associate agreement

Wellficient RD stores protected health information about facility residents. We sign a HIPAA business associate agreement with every customer, and it is part of your agreement with us. If it conflicts with these terms on anything involving resident information, the business associate agreement controls.

Your professional judgment

Wellficient RD helps you organize your work: due lists, weight flags, assignments and wrap-ups. It does not make clinical decisions. You and your dietitians decide what to recommend, and you are responsible for checking the reports you upload and the work you submit.

The same goes for tools on this website, such as the Significant Weight Change Calculator. Check results against your records.

Fees

• $25 per facility, per month, with a $100 monthly minimum.
• Every dietitian on your team is included. There is no setup fee.
• Fees are due on the 1st of each month, unless your signed agreement says otherwise.
• If your signed agreement sets a different fee, that fee applies.
• We give at least 60 days’ written notice before any change in your fee.
• If a payment is more than 30 days late, we may pause access after giving you written notice. Pausing access does not delete your data.

Term and canceling

Wellficient RD is month to month. Either of us may end the service with 30 days’ written notice. To cancel, email hello@getwellficient.com.

Your business associate agreement also lets you end the service right away if there is a breach of unsecured resident information or another serious privacy or security breach.

Your data

You own your data. We use it only to run Wellficient RD for you, and as your business associate agreement allows.

When the service ends, we give you a full export of your data, then delete it. Backups expire on their normal schedule, within 30 days, and stay protected until then.

Availability

We make reasonable efforts to keep Wellficient RD available and to fix problems promptly. We give advance notice of planned downtime when we can. We don’t guarantee uninterrupted service.

Using Wellficient RD

We own Wellficient RD and this website, including the software, design and content. While your service is active, you may use Wellficient RD for your business. Please don’t:

• Upload information you aren’t allowed to share with us.
• Try to reach data that isn’t yours, or get around the app’s security.
• Copy, resell or rebuild the software.

Limits on responsibility

Our total liability is limited to the fees you paid us in the 12 months before the claim. This limit does not apply to gross negligence or willful misconduct.

Neither of us is responsible to the other for lost profits or indirect damages.

If we breach the business associate agreement, we cover the reasonable notification costs and penalties that result, as that agreement sets out.

Changes to these terms

If we change these terms, we’ll post the new version on this page and change the date at the top. Changes to these terms don’t change a signed agreement. That takes a written change signed by both of us, except fee changes made with 60 days’ notice.

Governing law

Missouri law governs these terms.
